Terms of Service

1. Overview of the Platform

Maestro is an AI agent platform that enables users to create, configure, deploy, and manage autonomous and semi-autonomous AI agents. Users can build personalized AI agents capable of performing tasks, interacting with third-party services, processing data, and executing workflows on the user's behalf.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Platform. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration

• You must provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are solely responsible for all activities that occur under your account, including actions taken by AI agents you create or deploy.
• You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to use the Platform to:

• Violate any applicable law, regulation, or third-party rights;
• Create agents that generate, distribute, or facilitate illegal, harmful, abusive, defamatory, or misleading content;
• Engage in unauthorized access to any system, network, or data;
• Deploy agents for spam, phishing, social engineering, or fraud;
• Circumvent or disable any security, rate-limiting, or access controls of the Platform;
• Use the Platform to develop competing products or services through systematic data extraction;
• Impersonate any person or entity, or misrepresent your affiliation;
• Attempt to reverse engineer, decompile, or disassemble any part of the Platform;
• Use agents in a manner that could cause harm to individuals, organizations, or critical infrastructure;
• Deploy agents that autonomously make high-stakes decisions (medical, legal, financial) without appropriate human oversight.

5. AI Agents and User Responsibility

You are responsible for your agents. AI agents created on the Platform act on your behalf. You are solely responsible for their behavior, outputs, and any consequences of their actions.

No guarantee of accuracy. AI agents may produce inaccurate, incomplete, or inappropriate outputs. You must review and verify agent outputs before relying on them for any important decisions.

Third-party integrations. If you connect agents to third-party services (APIs, email, databases, etc.), you are responsible for ensuring compliance with those services' terms of use.

Human oversight. You agree to maintain meaningful human oversight of agents deployed in production environments, particularly for tasks involving personal data, financial transactions, or external communications.

6. Intellectual Property

Platform IP. The Platform, including its software, design, models, and documentation, is owned by Lawtrades and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Platform.

Your Content. You retain ownership of data, prompts, configurations, and content you input into the Platform ("User Content"). By using the Platform, you grant Lawtrades a limited, non-exclusive license to process your User Content solely to provide and improve the Platform.

Agent Outputs. Subject to applicable law and the rights of third parties, you own the outputs generated by your agents. Lawtrades claims no ownership over agent outputs.

7. Data and Privacy

Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, and protect your data. By using the Platform, you consent to the practices described in the Privacy Policy.

8. Fees and Payment

Certain features of the Platform may require payment. Fees, billing cycles, and payment terms will be displayed at the time of purchase or subscription.

• All fees are non-refundable unless otherwise stated or required by law.
• We reserve the right to modify pricing with 30 days' notice. Continued use after a pricing change constitutes acceptance.
• Usage-based charges (e.g., API calls, compute, token consumption) are billed according to the rate schedule published on the Platform.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Platform is provided on an "as available" basis. We may perform scheduled or emergency maintenance that temporarily limits access. We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time.

10. Suspension and Termination

We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms. You may close your account at any time by contacting us. Upon closure, your agents will be deactivated and your data will be handled in accordance with our Privacy Policy. Provisions that by nature survive termination (including Sections 5, 6, 11, 12, 13, and 14) will remain in effect.

11. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI OUTPUTS. LAWTRADES DOES NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT AI AGENTS WILL PERFORM AS INTENDED IN ALL CIRCUMSTANCES.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAWTRADES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO LAWTRADES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Lawtrades and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Platform, your User Content, your agents' actions, or your violation of these Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Platform at least 30 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
